M&A Associate (Contractor via Deel) – Post-Close True-Ups & Earnouts

About the role

Compass is hiring an M&A Associate (contractor through Deel) for its Mergers & Acquisitions / Corporate Development team, based in Latin America. The team partners with executives and business leaders to drive growth through acquisitions. The associate reports to the Senior Manager, Corporate Development and focuses mainly on post-close purchase price true-ups and earnouts, while supporting financial analysis, diligence and closing activities. Regular working-hour overlap with the New York-based Corporate Development team is required.

Key responsibilities

• Prepare and reconcile post-close purchase price true-ups, including working capital, cash, indebtedness and transaction expenses, per acquisition agreements, and investigate variances against closing estimates
• Build and maintain earnout models, track performance against targets, and prepare earnout calculations and supporting statements for review by the M&A lead
• Project manage post-close workstreams, liaising with Accounting, Finance, Legal, acquired businesses and sellers, and escalate disputes and payment issues
• Support financial diligence, quality of earnings review, valuation models and closing schedules, and develop standardized templates

Required profile

• Bachelor's degree in finance, accounting or a related field
• 2-4 years of relevant finance, accounting or transaction advisory experience; post-close true-up or earnout experience is a plus
• Track record of accuracy in financial analysis, reconciliations and detail-demanding work
• Strong understanding of financial statements and working capital
• Ability to multitask, prioritize, work independently and escalate issues appropriately
• English verbal and written communication; comfort in a fast-paced environment

Required skills

• Advanced Excel, including financial modeling and data reconciliation
• Ability to turn acquisition agreement provisions into calculations with guidance from the M&A lead and Legal
